# Terms and Conditions **Last Updated: 17 February 2026** ## 1. Acceptance of Terms By accessing or using NotifyMe (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use the App. ## 2. Description of Service NotifyMe is a one-way communication platform designed to enable healthcare providers ("Doctors" or "Providers") to send messages and information to their patients ("Patients" or "Users"). The App facilitates doctor-to-patient communication only and does not support patient-to-doctor messaging. ## 3. Eligibility and Account Registration ### 3.1 Healthcare Provider Accounts - Only licensed healthcare professionals may register as Providers - Providers must provide accurate professional credentials and licensing information - Providers are responsible for maintaining the confidentiality of their account credentials - Providers must maintain current and valid professional licenses throughout their use of the App ### 3.2 Patient Accounts - Patients must be invited or authorized by a registered Provider - Patients must provide accurate contact and identification information - Patients may only receive communications from Providers they have authorized ## 4. Account and Service Terms ### 4.1 Service Plans - The App operates on an account basis for healthcare Providers - Service terms are subject to change with 30 days' notice ### 4.2 Account Management - Account management is handled externally - Account details and service terms are communicated at the time of registration ### 4.3 Cancellation - Accounts may be deactivated at any time - Deactivations take effect at the end of the current service period - No refunds are provided for partial service periods except as required by law ## 5. Acceptable Use Policy ### 5.1 Permitted Uses You may use the App only for: - Legitimate doctor-patient communication purposes - Sharing appointment reminders, health information, and medical advice - Administrative healthcare-related communications ### 5.2 Prohibited Uses You may NOT use the App for: - Emergency medical situations or urgent care needs - Diagnosing or treating medical conditions without proper examination - Sharing false, misleading, or fraudulent information - Violating any applicable laws, regulations, or professional standards - Harassing, threatening, or abusing other users - Transmitting viruses, malware, or other harmful code - Attempting to gain unauthorized access to the App or user accounts - Using the App for marketing or solicitation without user consent ## 6. Medical Disclaimer ### 6.1 Not for Emergencies **THE APP IS NOT INTENDED FOR EMERGENCY USE. IN CASE OF MEDICAL EMERGENCY, CALL YOUR LOCAL EMERGENCY NUMBER (e.g., 10177 in South Africa) IMMEDIATELY.** ### 6.2 Professional Judgment - Providers remain solely responsible for all medical advice and information transmitted - The App is a communication tool only and does not provide medical advice - Nothing in the App should replace professional medical judgment or in-person consultations ### 6.3 No Doctor-Patient Relationship Use of the App alone does not create a doctor-patient relationship. Providers and Patients must establish such relationships independently according to professional standards and regulations. ## 7. Privacy and Data Protection Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy. ## 8. Intellectual Property Rights ### 8.1 Our Rights All content, features, and functionality of the App, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are the exclusive property of NotifyMe or its licensors and are protected by copyright, trademark, and other intellectual property laws. ### 8.2 Your Rights Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for its intended purpose. ### 8.3 User Content - Providers retain ownership of all content they transmit through the App - By using the App, Providers grant us a license to transmit, store, and display their content as necessary to provide the service - Providers represent and warrant that they have all necessary rights to the content they transmit ## 9. Data Security and POPIA Compliance ### 9.1 Security Measures We implement appropriate technical and organizational measures to protect user data in accordance with the Protection of Personal Information Act (POPIA). However, no system is completely secure, and we cannot guarantee absolute security. ### 9.2 User Responsibilities - Providers must ensure their use complies with applicable healthcare privacy laws - Users must maintain the security of their account credentials - Users must report any suspected security breaches immediately ## 10. Disclaimer of Warranties THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: - The App will be uninterrupted, secure, or error-free - Any defects will be corrected - The App is free from viruses or other harmful components - The results obtained from using the App will be accurate or reliable ## 11. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY SOUTH AFRICAN LAW, NOTIFYME AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR: - ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES - ANY LOSS OF PROFITS, REVENUE, DATA, OR USE - ANY MEDICAL MALPRACTICE OR PROFESSIONAL LIABILITY CLAIMS - ANY DAMAGES ARISING FROM RELIANCE ON INFORMATION PROVIDED THROUGH THE APP IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM. ## 12. Indemnification You agree to indemnify, defend, and hold harmless NotifyMe and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: - Your use of the App - Your violation of these Terms - Your violation of any applicable laws or regulations - Any medical advice or treatment provided through the App - Any infringement of third-party rights ## 13. Termination ### 13.1 By You You may terminate your account at any time by following the cancellation process in the App. ### 13.2 By Us We may suspend or terminate your account immediately without notice if: - You violate these Terms - Your account is inactive for an extended period - We are required to do so by law - We discontinue the App ### 13.3 Effect of Termination Upon termination: - Your right to use the App ceases immediately - You remain liable for all charges incurred before termination - Provisions that by their nature should survive will continue to apply ## 14. Modifications to Terms We reserve the right to modify these Terms at any time. We will notify you of material changes through the App or via email. Your continued use of the App after changes take effect constitutes acceptance of the modified Terms. ## 15. Modifications to Service We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice, without liability to you. ## 16. Governing Law and Dispute Resolution ### 16.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. ### 16.2 Dispute Resolution Any disputes arising from these Terms or your use of the App shall be resolved through: 1. Good faith negotiations between the parties 2. Mediation under the rules of the Arbitration Foundation of Southern Africa (AFSA) 3. Litigation in the courts of the Republic of South Africa ## 17. Miscellaneous ### 17.1 Entire Agreement These Terms, together with our Privacy Policy, constitute the entire agreement between you and NotifyMe regarding the App. ### 17.2 Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. ### 17.3 Waiver Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision. ### 17.4 Assignment You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction. ### 17.5 Force Majeure We shall not be liable for any failure to perform due to circumstances beyond our reasonable control. ## 18.
